Terms of Service

3.1 Account Creation

To access certain features, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Email Authentication

We use magic link authentication sent to your email address. You must have access to the email address associated with your account to log in.

3.3 Account Security

You agree to notify us immediately of any unauthorized use of your account. We are not liable for losses caused by unauthorized use of your account.

4.1 Supported Content

You may upload audio files in supported formats for watermarking and protection. You represent and warrant that you have all necessary rights to the content you upload.

4.2 Content Ownership

You retain ownership of all intellectual property rights in your uploaded content. By uploading content, you grant us a limited license to process, watermark, and store your content to provide our services.

4.3 Prohibited Content

You may not upload content that:

• Infringes on the rights of others
• Contains malicious code or viruses
• Violates applicable laws or regulations
• Contains explicit or harmful material
• Violates third-party copyrights or other intellectual property rights

4.4 AI Services and Machine Learning

We use third-party artificial intelligence services to enhance your experience with features such as content assistance and suggestions. However, we do not use your uploaded content to train AI models. Your content may be processed by these AI services solely to provide you with the requested features, but it is never used by us or our AI service providers to train, improve, or develop machine learning models. We will never share your content with third parties for AI/ML training purposes.

4.5 Marketing and Showcase Rights

By publishing a website through YoAmigo, you grant Ciciliostudio LLC a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute screenshots, images, or links to your published website for marketing, promotional, and advertising purposes. This includes, but is not limited to, featuring your website in our portfolio, case studies, social media, advertisements, and promotional materials. This license continues even after termination of your account for any marketing materials created prior to termination.

5.1 Platform Administrative Rights

YoAmigo reserves the right to access, read, modify, edit, update, or delete user project code for security purposes, system maintenance, legal compliance, or any other reason we deem necessary in our sole discretion. This includes automated or manual actions to protect platform integrity, prevent abuse, or ensure compliance with these Terms.

5.2 Account and Project Enforcement

YoAmigo may immediately suspend, terminate, or take down any account, project, website, or domain without prior notice if we detect or suspect:

• Malicious activity or code
• Violations of these Terms of Service
• Illegal content or activity
• Security threats to our platform or other users
• Any conduct we deem harmful, inappropriate, or against our policies

5.3 Code Ownership for Premium Plans

Users on Pro Annual, Max Annual, or Lifetime plans retain ownership of their custom project code created through YoAmigo. However, YoAmigo’s administrative rights described in sections 5.1 and 5.2 apply regardless of plan type. Your code ownership does not limit our ability to take action for security, compliance, or enforcement purposes. We reserve the right to access, modify, or remove any project code as outlined in these Terms.

5.4 Third-Party Library Compliance

You are solely responsible for complying with all license terms of third-party libraries, frameworks, dependencies, and open-source software used in your projects. YoAmigo does not monitor or enforce third-party license compliance. YoAmigo is not liable for any misuse, violation, or non-compliance with third-party library licenses. You agree to indemnify and hold Ciciliostudio LLC harmless from any claims, damages, or liabilities arising from your use or misuse of third-party libraries in your projects.

6.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Plan details, pricing, and features are subject to change with reasonable notice.

6.2 Payment Processing

Payments are processed through Stripe. By subscribing, you agree to Stripe’s terms of service and privacy policy. All payments are generally non-refundable unless otherwise specified in these Terms or as determined by Ciciliostudio LLC.

6.3 Refunds

Refund eligibility and approval are determined solely at the discretion of Ciciliostudio LLC on a case-by-case basis. We may consider factors including, but not limited to, the nature of the request, usage patterns, timing of the request, and compliance with these Terms. Any refunds granted will be processed according to our internal policies and procedures. We reserve the right to deny refund requests that do not meet our criteria or that we determine, in our sole judgment, to be fraudulent, abusive, or otherwise inappropriate.

6.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time through your account settings.

6.5 Usage Limits

Each subscription plan has specific usage limits (storage, track count, shares). Exceeding these limits may result in service restrictions or upgrade prompts.

13.1 By You

You may terminate your account at any time. Upon termination, you will lose access to your stored content and service features.

13.2 By Us

We may suspend or terminate your account immediately and without notice for: (a) violations of these Terms; (b) non-payment of fees; (c) suspected fraudulent, abusive, or illegal activity; (d) excessive resource usage that impacts our systems; (e) security breaches; or (f) any conduct that we determine, in our sole discretion, to be harmful to our service, other users, or third parties.

13.3 Data Retention

After termination, we may retain your data for a reasonable period for backup, legal, and security purposes, but will delete it according to our Privacy Policy. You acknowledge that we have no obligation to maintain or provide access to your data after termination.

14.1 Service “As Is”

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CICILIOSTUDIO LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT WATERMARKING WILL PREVENT ALL UNAUTHORIZED USE OF YOUR CONTENT OR THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

14.2 Third-Party Services

Our service integrates with third-party providers (including but not limited to Stripe, Supabase, and PostHog). We disclaim all responsibility for the performance, availability, security, or functionality of these third-party services. Any issues with third-party services are between you and the respective provider.

14.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CICILIOSTUDIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
